ICR governance chief says activists are shifting focus to fundamentals
In an NYSE fireside chat, ICR said investor campaigns are increasingly centered on board accountability, capital allocation, and strategy oversight rather than ESG-driven efforts.
ICR’s Global Head of Governance, Shareholder and Activism Advisory, Gabriel Hasson, said activist pressure is increasingly shifting toward “back to basics” governance themes as shareholder activism reaches record levels, according to an in-person discussion held on the floor of the New York Stock Exchange on July 28.
During the fireside chat, Hasson described a move away from ESG-centered campaigns toward demands for board accountability, capital allocation, and strategy and oversight. He also said companies may need to update their disclosures and governance strategies to match an evolving activism landscape where activists are using more targeted approaches and technology to influence outcomes.
ICR said Hasson helps boards and executives navigate governance and shareholder engagement, including communication of practices related to material governance, environmental, and social risks and opportunities. The firm also supports clients in responding to activism, M&A, and other high-stakes situations, including contested director elections and proxy season preparation.
The Yahoo Finance conversation also noted Hasson previously worked at BlackRock as an Investment Stewardship Director overseeing a portfolio of over $400 billion across the U.S., Canada, and Latin America.
