AsiaStrategy sells Astra stake to insider-linked buyers, with $8M deferred
Closing would transfer legal ownership of the shares even though $8 million remains unpaid for up to a year, with no disclosed collateral or escrow backing the deferred portion.
AsiaStrategy agreed to sell all shares of a Singapore holding company that holds a 7.07% stake in Astra Enterprise, moving that exposure to two buyer entities for $10 million while leaving $8 million unpaid for as long as a year, according to a filing covered by CryptoSlate.
The Nasdaq-listed company signed two share purchase agreements on Aug. 15, each covering 50% of AsiaStrategy Topwin SG for $5 million. Each contract requires buyers to pay 20% of the price, or $1 million, within one month of the Aug. 15 effective date, with the remaining $4 million per buyer due within one year, creating combined deadlines of $2 million by Sept. 15, 2026, and $8 million by Aug. 15, 2027.
CryptoSlate reports the agreement structure allows closing to be independent of full payment, with each buyer becoming the legal and beneficial owner of its 50% stake at closing. AsiaStrategy disclosed that the subsidiary owns 114,638,700 Astra shares and has no other disclosed assets, and that its Aug. 17 filing did not indicate that either transaction had closed or any payment had been received.
AsiaStrategy said its board and management reviewed the terms and determined the sale was in the company’s and shareholders’ best interests, citing registration and regulatory burdens under the US Investment Company Act for companies holding significant “investment securities.” CryptoSlate also noted the contracts disclose no collateral, guarantees, or escrow for the deferred $8 million and specify no interest, acceleration, or bespoke payment-default remedy.
