Paramount Skydance clears key antitrust hurdle for WBD deal

The multi state settlement, finalized before a Sept. 30, 2026 deadline, also avoids contractual ticking fees that could have cost the buyer hundreds of millions of dollars for closing delays.

Paramount Skydance has cleared a major regulatory hurdle to its Warner Bros. Discovery acquisition after a multi state antitrust settlement removed the main legal barrier, easing the path for the roughly $111 billion transaction, according to MarketBeat Ratings.

The settlement resolves litigation brought by state attorneys general and the Writers Guild, and it was finalized ahead of a Sept. 30, 2026 deadline. By hitting that date, Paramount Skydance avoids contractual ticking fees that would have penalized the buyer for closing delays, potentially running into the hundreds of millions of dollars, the outlet said.

Markets reacted quickly to the clearance, with Warner Bros. Discovery shares trending toward their 52 week peak and Paramount Skydance absorbing unusually active trading volume. The regulatory green light shifts investor focus toward what conditions the buyer accepted and how the combined company plans to manage leverage, the report added.

Regulatory clearance also comes with operational commitments, including an additional $1.5 billion investment in domestic production over the next five years. The combined entertainment company would scale to about $66.06 billion in annual revenue, combining Warner Bros. Discovery’s roughly $37.30 billion with Paramount Skydance’s approximately $28.76 billion, MarketBeat Ratings said.
