Sovereign gains full control of Malawi rutile-graphite project

Rio Tinto will cede sole development control and let its marketing rights to more than 40% of output lapse, while Sovereign keeps the benefit of Rio’s $60 million investment.

Rio Tinto will not become the operator of Sovereign Metals’ Kasiya rutile-graphite project in Malawi, leaving the junior company with full control of one of the world’s largest undeveloped natural rutile and graphite deposits, Mining.com reports.

Rio said the decision is tied to a broader shift in corporate strategy and a strategic review of its iron and titanium business, not to any change in Kasiya’s economics or strategic value. Sovereign will retain Rio’s $60 million investment while taking sole ownership of the project’s development.

As part of the change, Rio’s exclusive marketing rights covering more than 40% of production, along with its consent and pre-emption rights, will lapse. Sovereign said Rio’s move does not change the project’s quality or strategic importance, and that it will advance Kasiya independently.

Sovereign added that the updated structure gives it more flexibility to pursue financing and commercial agreements as Western governments seek secure supplies of critical minerals outside China. The company plans to advance offtake memoranda of understanding with Mitsui & Co. and Traxys North America into binding agreements, while continuing discussions with the International Finance Corporation on a development financing strategy.
