Celsius-linked IOND shares face transfer limits despite Nasdaq debut

Ionic said direct-registered shareholders may need to move Celsius-plan shares from Odyssey Transfer and Trust into a brokerage account, a process it said typically takes one to two business days.

Ionic Digital began trading on Nasdaq on July 28 under the ticker IOND after acquiring Celsius Network assets through Celsius’s bankruptcy. The direct listing created a public trading venue for existing Class A shares, including shares issued in connection with the Celsius bankruptcy plan, but it did not automatically allow all holders of creditor-linked stock to sell immediately.

Because the transaction was a direct listing, Ionic sold no new shares, so it would receive no proceeds if existing registered holders chose to sell. The shares in question trace back to Jan. 31, 2024, when Ionic acquired the Celsius Mining assets and issued 37 million Class A shares to former approved creditors and certain affiliates, with no cash consideration paid by Ionic for the assets.

The company’s final prospectus also shows that not all newly registered stock came from the bankruptcy-plan issuance. It separately registered 10,800,164 resale shares tied to a June 2026 private placement, which were distinct from the 37 million Class A bankruptcy-plan shares. For those private-placement investors, the prospectus said they generally could not transfer their securities below $70 per share until six months after the listing.

Even for holders who are not subject to plan-recipient or affiliate underwriting-style limits, Ionic said exchange trading does not guarantee immediate access if shares remain in direct registration. For recipients whose shares stayed on Ionic’s books at Odyssey Transfer and Trust Company, the company said a broker that participates in the Depository Trust Company and supports the Direct Registration System had to move the shares into a brokerage account, which it said typically takes one to two business days, while Nasdaq’s $53 reference figure was only a direct-listing reference price. CryptoSlate reported that IOND closed its first session at $62.90.
