Sphere 3D seeks ATM capacity that could expand shares by about 51%

The amended at-the-market program would add 4,382,978 common shares at the prospectus-assumed $2.35 price, lifting basic shares outstanding from 8,619,150 to 13,002,128 if fully used.

Bitcoin miner Sphere 3D has amended its at-the-market stock-sale plan to provide additional working-capital flexibility, with authorization for stock sales tied to liquidity needs.

According to a July 31 prospectus supplement, the company has up to $10.3 million of amended at-the-market stock-sale capacity, and if it fully uses the facility at an assumed $2.35 per share, it would issue 4,382,978 common shares. That would raise the company’s basic share count by 50.9%, from 8,619,150 to 13,002,128.

The filing clarifies the authorization is not a committed issuance, and there is no minimum sale requirement, meaning actual share pricing and the number of shares issued would depend on market activity. Sphere 3D estimates net proceeds of about $9.9 million if the assumed offering is completed, after a 3.0% sales-agent commission and estimated offering expenses.

Sphere 3D also noted it has already used equity financing capacity under a prior ATM prospectus, selling 2,172,789 shares through July 30 for $5.13 million in gross proceeds, though those sales were under the superseded program and not necessarily from the amended facility. The company’s disclosures describe continued flexibility to sell mined Bitcoin for working capital or growth, alongside documented going-concern language in its 2025 audit and Cathedra’s related filings.
