CleanCore raises about $100M by offering shares after Dogecoin sale

The stock offering expanded CleanCore’s common shares from 226.3M to 502.1M, and additional warrants could lift the total to about 1.03B shares.

CleanCore completed an approximately $100 million stock offering tied to a pivot away from cleaning products and toward Minnesota AI infrastructure, according to a CryptoSlate account of the company’s filings.

The offering increased CleanCore’s common shares outstanding from 226,260,684 to 502,090,260 after the company issued 275,829,576 offering shares, a prospectus disclosure said. CryptoSlate also noted the final prospectus describes the increase as 121.9% versus the pre-offering base, with dilution already delivered and more shares still possible.

CleanCore issued pre-funded warrants covering 124,170,424 shares and investor warrants covering up to 400 million shares. CryptoSlate reported that exercising all offering warrants after the Aug. 20 share count could take the offering-only total to 1,026,260,684 shares, though the exercise path is conditional and subject to ownership limits and adjustments.

The company said the offering closed on Aug. 12 with about $100 million gross proceeds, while the prospectus estimated net proceeds at about $92 million. CryptoSlate added that CleanCore linked proceeds, including completed Dogecoin sales, to up to $500 million of commitments for the Minnesota joint venture and an initial $479 million budget, though disclosures did not fully reconcile how project equity was funded versus committed.
