Genius Group plans $1.6B AI and bitcoin treasuries after selling BTC
The NYSE-listed firm liquidated its entire bitcoin stash in April to repay $8.5 million of debt, and now wants to rebuild a bitcoin treasury using a new preferred stock offering.
Genius Group, a NYSE-listed AI-powered education company, said it is restarting its bitcoin strategy after previously selling all of its holdings. The company reported in a Thursday statement that it aims to build parallel AI and bitcoin treasuries worth a combined $1.6 billion, targeting total assets of $2.0 billion by fiscal year 2031.
The plan comes months after Genius Group got rid of all its bitcoin in April, using the proceeds to repay $8.5 million in debt. The company said the sale followed a broader pullback in digital asset treasuries as crypto prices declined, and it also said the liquidation reportedly occurred at a loss, leaving it with no crypto reserves.
Genius Group said it previously adopted a “Bitcoin first” strategy in late 2024 and had built a position up to 440 BTC by February 2025, before sales reduced its holdings after a court order blocked it from raising funds or issuing shares. It ultimately sold its remaining bitcoin entirely and is now proposing to rebuild a bitcoin treasury alongside a similarly sized AI treasury.
To fund the restart, Genius Group said it plans to use its $1.2 billion SEC-cleared shelf registration to issue Perpetual Preferred Securities, targeting an initial $12.5 million raise. The company said proceeds would be split among the AI treasury, the bitcoin treasury, and a cash reserve covering about 18 months of dividend payments, and it cited a structure similar to Strategy’s use of perpetual preferred stock for bitcoin holdings.
