Genius Group seeks $12.5 million preferred offer to rebuild Bitcoin treasury
The AI education firm says it has already sold its remaining Bitcoin and repaid $8.5 million of debt, after which it has no funded plan to buy BTC until dividend terms and allocation sizes are set.
Genius Group, an AI-powered education company, has proposed a $12.5 million perpetual preferred-stock offering to restart a Bitcoin treasury it aims to grow to $827 million by fiscal 2031, after it sold its remaining Bitcoin to pay down debt, according to CryptoSlate.
The initial raise would cover only 1.5% of the long-range target, leaving at least $814.5 million still to be financed before any non-Bitcoin allocations. The company said proceeds would be split among a Bitcoin treasury, an AI portfolio, and a dollar reserve equal to about 18 months of preferred dividends, though it has not set the dividend rate or allocation percentages, meaning the first round’s Bitcoin purchase size cannot be calculated yet.
Genius also outlined that the preferred security would be non-convertible and pay a variable monthly rate, but it has not finalized key deal terms such as the issue price, final size, timing, structure, or exchange listing, all subject to board approval, securities rules, and market conditions. The company said the instrument would not dilute common shares at issuance, shifting risk to preferred holders through dividend and liquidation priority.
CryptoSlate reported that Genius is beginning the plan from zero, citing its April report that it sold its remaining Bitcoin and repaid $8.5 million of debt. The firm pointed to a $1.2 billion shelf registration that became effective in July 2025, and an April 2026 prospectus supplement that tied an approximately $8 million public offering to the same registration.
