MoonPay signs deal to buy North Capital and its PPEX venue

The agreement would add a registered broker-dealer and private-securities trading system to MoonPay, but customers have not been given timelines or access terms.

MoonPay has signed a definitive agreement to buy North Capital Investment Technology, a deal that would fold North Capital’s private-securities trading capabilities into MoonPay if it closes, the companies announced Sept. 23, according to CryptoSlate.

The transaction would make North Capital a wholly owned MoonPay subsidiary after completion, but regulatory approvals and other customary closing conditions still need to be satisfied. The companies have not disclosed a purchase price or a firm closing date, and they cautioned there is no assurance the deal will close, or when.

For MoonPay customers, the announcement does not change the company’s stated access to private-securities trading, and it provides no launch date, eligibility rules, or clear path to the venue. CryptoSlate reports that MoonPay has not yet described a customer-facing securities product, even though North Capital’s existing regulated entities and trading infrastructure are part of what could be offered later.

North Capital supplies technology and regulated services across investor onboarding, transaction processing, custody, and secondary trading, including an alternative trading system called PPEX, operated by North Capital Private Securities Corporation, a registered broker-dealer. PPEX is listed on the SEC’s June 30 ATS list, and the deal would broaden MoonPay’s platform connecting money movement between conventional and digital assets.
