Bitcoin-Treasury Capital B to execute 10-for-1 reverse split in September
The consolidation will cut outstanding shares to 30,065,063, with the company saying it is meant to improve share pricing for institutional and listing minimums.
Bitcoin-Treasury Capital B, a Paris-listed bitcoin treasury company formerly known as The Blockchain Group, plans to execute a 10-for-1 reverse stock split in September, according to a regulatory filing published Monday. The company said it will combine every 10 existing shares into one new share beginning September 8.
The move is designed to reduce barriers for institutional funds and exchange minimum-price thresholds, while the company framed the transaction as purely technical. Capital B said the reverse split would leave the aggregate value of shareholders holdings unchanged, aside from how fractional entitlements are handled.
Capital B said the reverse split will reduce outstanding shares from 300,650,632 to 30,065,063, and that each new share will have a par value of 0.80 euros, up from 0.08 euros. Shareholders with share counts divisible by 10 will be converted automatically, while intermediaries will sell shares tied to fractional entitlements and distribute cash proceeds starting September 14.
The company set August 6 through September 7 as the reverse split period, with September 7 as the final trading day for existing shares and consolidated shares beginning trading the next day under a new ISIN. It also set September 9 as the record date and September 10 for settlement and delivery.
