Repligen to buy BioLife Solutions in about $1.5 billion cell therapy deal

The cash-and-stock agreement values BioLife at $31 per share, a roughly 6.2% premium, and is expected to close in the fourth quarter of 2026.

Repligen Corp said it will acquire BioLife Solutions in a cash-and-stock deal valued at about $1.5 billion to expand the drugmaking equipment provider’s footprint in the cell therapy market, according to Reuters. The acquisition gives Repligen access to BioLife technology used to preserve cells during manufacturing and across the supply chain, along with BioLife’s cell-processing tools and consumables business, which the company described as high-margin. BioLife shareholders will receive $11.25 in cash and 0.1442 shares of Repligen for each BioLife share, Reuters reported, valuing BioLife at $31 per share and implying a premium of about 6.2% to BioLife’s last close. Both companies’ boards have unanimously approved the deal. Repligen expects the transaction to close in the fourth quarter of 2026, subject to regulatory and shareholder approvals. The company also forecast that the deal will increase earnings and generate at least $20 million in first-year savings after closing by cutting overlapping costs and improving efficiency, Reuters added.
