Corporate Bitcoin treasuries face cash deadlines from debt and preferred shares

VanEck’s Matthew Sigel said maturities, redemption windows, and dividend dates tied to financing structures can force some companies to sell Bitcoin even if they expect higher long-term prices.

Corporate Bitcoin holdings in public-company balance sheets can be constrained by the timing of convertible notes, preferred shares, and credit facilities, according to commentary highlighted by CryptoSlate. CryptoSlate reports that these “claims” on a company’s capital structure can create fixed payment, redemption, or maturity dates. When obligations come due, a firm may need to raise cash by selling Bitcoin on a set schedule, regardless of its long term view of the asset.

CryptoSlate points to Strategy as one example of how equity and debt terms interact with Bitcoin treasury management. As of May 25, Strategy reported 843,738 BTC alongside $6.7 billion in convertible notes, $15.5 billion in preferred stock, and an $871 million cash reserve, the outlet said.

The article also describes how Strategy’s variable rate perpetual preferred stock (STRC) became a stress point as Bitcoin and STRC pricing moved down in mid to late June. CryptoSlate said Strategy paused its at-the-market program after its stock traded below par for about 30 straight sessions to avoid diluting existing holders, then unveiled a “Digital Credit Capital Framework” on June 29 that raised the dividend to 12% and added a ratchet tied to closes below $95.
