Geneva Life Holdings closes acquisition of Barbados insurer Geneva International
The March 2026 deal, first announced July 27, adds Geneva International Insurance's Barbados-domiciled licenses and operating history to Geneva Life Holdings' private placement life platform.
Geneva Life Holdings, LLC has completed its acquisition of Geneva International Insurance (GII), a Barbados-domiciled life insurer focused on private placement life insurance and private placement variable annuity solutions for high-net-worth families, family offices, and institutions, Insurance Business reported. The transaction closed in March 2026, after being announced July 27, and financial terms were not disclosed.
The deal centers on private placement life insurance policies, which can function as tax-advantaged investment wrappers allowing eligible policyholders to hold alternative assets inside an insurance structure. Those assets can include hedge funds and private equity instruments that are typically not accessible to retail policyholders.
Insurance Business said GII has operated since 2016 and is licensed and regulated by the Financial Services Commission of Barbados. It also holds a Section 953(d) election under the US Internal Revenue Code, a structural feature that treats the company as a US taxpayer for federal tax purposes relevant to American policyholders.
Based on year-end 2023 figures, the Geneva Insurance Group reported a policy book of more than 180 large policies, with a combined US$1.8 billion in assets under management across its Barbados and non-953(d) carriers. Geneva Life Holdings said GII's licenses, management, regulatory relationships, and policy administration will continue without interruption, and in-force policies will remain under their existing terms.
