Dogecoin Ventures borrows $1.4M, to repay via CleanCore shares

The $1.4 million unsecured note carries 10.7% interest, with principal due in 2,227,300 CleanCore Solutions shares rather than cash, and the repayment mechanics remain unclear.

Dogecoin Ventures, a wholly owned unit of House of Doge, borrowed $1.4 million from lender Devlin DeFrancesco under an unsecured note, according to a July 29 SEC filing reviewed by CryptoSlate. The note, issued July 28, bears 10.7% annual interest and matures July 27, 2027. The principal is due in 2,227,300 CleanCore Solutions shares that were already pledged to House of Doge’s senior lenders, while interest is payable in cash. Rather than repaying the principal amount in cash, Dogecoin Ventures agreed to deliver a fixed block of unrestricted, registered CleanCore shares. CryptoSlate reports that because the shares are repayment consideration, not collateral for the new note, DeFrancesco is exposed to CleanCore’s market price when the shares can be delivered. The filing also highlights constraints tied to creditor priority, including an express restriction on scheduled or early repayment until House of Doge fully repays its convertible note held by YA II PN Ltd., known as Yorkville. CryptoSlate says a June 1 amendment extended the Yorkville note’s maturity to July 31, 2026, required $100,000 in extension consideration, included a $200,000 balance paydown, and placed 9 million CleanCore shares into a Revere Securities account with sale proceeds directed to Yorkville, leaving the exact release path for the July 29 repayment shares unresolved.
