Curium to buy Lantheus in an all-cash deal valued up to $8bn
The offer is $102.50 per Lantheus share at closing, with potential total consideration of up to $114.50 per share via contingent value rights tied to milestones by 2030.
Curium, backed by CapVest Partners, has agreed to acquire rival US radiopharmaceutical company Lantheus in an all-cash transaction valued at up to nearly $8 billion, according to Yahoo Finance.
Under the agreement, Curium US will buy all outstanding Lantheus shares for $102.50 per share at closing. Lantheus shareholders will also receive non-transferable contingent value rights that could pay up to an additional $12.00 per share if commercial milestones for the product portfolio are met by 2030, bringing potential total consideration to $114.50 per share.
The deal represents a 38% premium to Lantheus' 60-day volume-weighted average price, a 29% premium to its 30-day average, and is 21% above the company's closing price on May 21, 2026, the last day before media reports on a potential sale emerged.
Lantheus' board has given unanimous approval to the transaction. If completed, the combined company would operate across oncology, neurology, and cardiology in more than 70 countries, integrating Curium's theranostics capabilities and manufacturing operations with Lantheus' US radiodiagnostics business.
