IREN prospectus clears resale of $476 million Mirantis share block
The Aug. 4 filing covers about 11.9 million shares held by former Mirantis insiders, potentially creating selling pressure if holders move shares into the market.
Bitcoin miner IREN filed a prospectus covering nearly 12 million shares tied to its Mirantis acquisition, clearing the way for those former Mirantis investors and employees to sell shares publicly or privately. The newly registered block was valued at about $476.3 million based on IREN’s Aug. 3 closing price of $39.75, according to CryptoSlate.
IREN agreed in May to buy Mirantis in a deal valued at approximately $625 million at signing, largely through a fixed number of 13.7 million IREN shares. The transaction closed Aug. 3, when IREN issued 12.6 million shares plus about $40 million in cash, restricted stock units, and other consideration, and then filed the prospectus one day later for about 11.9 million of those shares.
The registration allows holders to sell all or part of the stock, and CryptoSlate notes it removes restrictions on roughly 95% of the shares issued at closing, which could increase “overhang” risk if a meaningful portion reaches the market. IREN will not receive proceeds from the resale because the shares are already held by the former Mirantis holders.
CryptoSlate also reports that IREN accepted the additional shares as Mirantis fits into what the company describes as a vertically integrated AI platform. IREN says its platform combines infrastructure layers like land, power connections, data centers, and GPU and networking equipment with Mirantis software used to deploy, orchestrate, monitor, and support AI workloads, and it has served more than 1,500 enterprise customers.
