Accelerant to be acquired by Thoma Bravo in all-cash deal

The agreement values the transaction at more than $4 billion, with a $20.25 per-share cash price and an expected close in the first half of 2027.

Insurtech risk exchange Accelerant has agreed to be acquired by Thoma Bravo in an all-cash transaction that would take the company private, according to Coverager.

The deal calls for an enterprise value of more than $4 billion, with Accelerant Class A and Class B stockholders receiving $20.25 per share in cash, a 49% premium to the company’s August 12, 2026 closing price.

Accelerant said the transaction is expected to close in the first half of 2027. The company also noted it returned to public markets last year after raising about $724 million at a $6.4 billion valuation.

Coverager also reported that after the acquisition, WoodStar is expected to begin writing meaningful direct business on the Accelerant Risk Exchange in 2027, and Hippo will serve as a fronting carrier for more than $500 million in annual gross written premiums across Accelerant’s U.S. portfolio.
