Accelerant to be bought by Thoma Bravo in $4B-plus deal

The all-cash offer values Accelerant at more than $4 billion and includes a 49% premium to its Aug. 12, 2026 closing price.

Data-driven risk exchange platform Accelerant has agreed to be taken private by Thoma Bravo in an all-cash transaction with an enterprise value of more than $4 billion, according to Reinsurance News.

Accelerant’s board formed a special committee of independent and disinterested directors to review and consider the transaction, and the committee reportedly recommended approval unanimously. The board then unanimously approved the deal, under which Accelerant Class A and Class B shareholders will receive $20.25 per share in cash.

The offer represents a 49% premium to Accelerant’s closing share price on August 12, 2026. Accelerant also said that if the transaction closing is delayed due to certain pending insurance regulatory approvals, shareholders will receive a ticking fee that accrues at 6% per annum for a period specified in the agreement.

The transaction is expected to close in the first half of 2027, subject to customary closing conditions including shareholder approval and required regulatory approvals. Accelerant said affiliates of Altamont Capital Partners holding shares representing about 82% of its outstanding voting rights have agreed to vote in favor, and that its common shares would be delisted from the New York Stock Exchange upon completion.
