UHS closes $835 million deal for Talkspace to link virtual and inpatient care

The deal, announced March 9 and closed August 17, creates a direct referral pathway between Talkspace and UHS facilities that previously had to be coordinated by employers or brokers.

Universal Health Services has completed its acquisition of Talkspace, paying $5.25 per share in cash, with an enterprise value of about $835 million, according to Insurance Business.

The transaction was announced March 9, received regulatory approvals, and closed August 17. Talkspace shareholders approved the merger at a special meeting on May 29.

UHS said it operates 346 inpatient behavioral health facilities, 29 acute care hospitals, and 168 outpatient and other facilities across 40 states, generating $17.4 billion in revenue in 2025. Talkspace operates a network of roughly 6,000 licensed therapists and psychiatrists across all 50 states, Washington, D.C., and Puerto Rico, and its services were available to more than 200 million people through health insurance plans, employer benefits programs, employee assistance programs, schools, and government organizations.

Insurance Business reports the combined organization is designed to cover both virtual therapy and psychiatry through Talkspace and higher-acuity outpatient programs and inpatient psychiatric facilities through UHS. The goal is a bi-directional referral pathway, so users whose needs escalate can be referred into UHS care, while UHS patients stepping down from inpatient treatment can transition to Talkspace for continued virtual support.
