Anthropic weighs supervoting stock ahead of a potential IPO
The planned structure would be the first time Anthropic leaders get extra voting power, with CEO Dario Amodei owning about 2% of the company, according to the report.
Anthropic is preparing a governance plan that would give CEO Dario Amodei and other co-founders a special class of stock with additional voting power, the Information reported, citing two people familiar with the matter.
The company is also considering keeping its existing body of non-shareholder trustees and using a special class of stock to elect a majority of board members, the report said. The specific voting mechanics were not disclosed, and the plans could still change.
The proposed shift would mark the first time Anthropic leaders would hold supervoting power, as co-founders currently hold relatively small stakes compared with founders at other major tech companies.
The timing comes as Anthropic prepares for a potential initial public offering later this year, expected to be among the largest market debuts in history. Anthropic is structured as a public benefit corporation required to balance commercial success with social and public benefit, and it has a Long-Term Benefit Trust for oversight of its mission.
