ZeroStack’s meme token deal leaves warrant dilution tied to one vote

ZeroStack says the MemeCore-related warrant shares equal about 167.4% of its Aug. 19 share base and require shareholder approval before Nasdaq’s 19.99% cap can be exceeded.

ZeroStack’s resale filings tie a large share issuance from its MemeCore meme token acquisition to a shareholder vote, with the approval-gated warrants far larger than the company’s current outstanding stock. CryptoSlate reports the company’s Aug. 21 resale registration references 36.2 million warrant shares connected to the transaction completed Aug. 19.

ZeroStack said it acquired 925,925,926 MemeCore M tokens in exchange for 3.5 million common shares and pre-funded warrants covering roughly 36.2 million additional shares. The deal valued the tokens at $1.08 each and the aggregate consideration at about $1 billion, with ZeroStack receiving tokens rather than $1 billion in cash, according to the company’s Form 8-K as summarized by CryptoSlate.

Those warrant shares cannot be issued until shareholders approve an issuance above a 19.99% share cap under Nasdaq Listing Rule 5635, and the filings do not list a specific vote date. ZeroStack reported 21,624,341 common shares outstanding as of Aug. 19, and CryptoSlate notes the 36,198,294 warrant shares equal about 167.4% of that base.

If shareholders authorize the issuance and every warrant share is issued, ZeroStack’s outstanding shares would rise to 57,822,635 before accounting for other options, warrants, repurchases, or issuances, CryptoSlate reports. The Aug. 19 base would then represent about 37.4% of the pro forma total, and the warrant shares are subject to a lockup of up to 10 years, which the company says can be waived or renegotiated by mutual written consent.
