Saylor essay and Strategy filings highlight layered Bitcoin ownership claims

Strategy said it held 840,447 BTC while reporting $2.0065 billion of net MSTR share sale proceeds and new USD cash pools.

Michael Saylor published an essay arguing that institutional custody and securities structures can broaden access to Bitcoin without removing the option of self-custody, framing “sovereignty” as the ability to choose between direct ownership and transparent institutional claims, according to CryptoSlate. Saylor’s central point is that self-custody remains a vital exit right, acting as a check on intermediaries, while shifting responsibility to the owner for keys, backups, inheritance planning, and protection against digital or physical threats.

At the same time, Strategy disclosed capital actions in an Aug. 24 Form 8-K that CryptoSlate linked to the essay’s timing, including the reported sale of 18,261,118 MSTR shares from Aug. 17 to Aug. 23 for $2.0065 billion in net proceeds, plus Strategy’s reported USD Reserve of $5.10 billion and a $1.59 billion new USD Cash pool. The filing also covered a $136.4 million repurchase of STRC preferred stock, and Strategy said it held 840,447 BTC, with CryptoSlate noting that different legal forms can serve different investor needs for custody, income, liquidity, priority, and risk transfer.
