Circle to acquire Tazapay in $400 million all-stock payments deal
The acquisition is valued at $400 million in Circle Class A shares, adjusted for Tazapay debt and expenses, and is expected to close in 2027 pending regulatory approvals.
Circle agreed to buy Singapore-headquartered cross-border payments infrastructure company Tazapay in an all-stock transaction with base consideration of $400 million, positioning the company to bring local payout rails and banking relationships into its USDC issuer payments business, The Defiant reports.
Circle said the purchase will be paid with Circle Class A shares equal to $400 million, with the final share count set using Circle’s volume-weighted average closing price over the 20 trading days before the deal closes. The company noted the agreement was signed on Sept. 4, according to a Form 8-K filed with the U.S. Securities and Exchange Commission.
The deal is expected to close in 2027, subject to customary conditions and regulatory approvals, including approval from the Monetary Authority of Singapore. Circle also said closing remains pending until required approvals are received and other conditions are satisfied or waived.
Circle described Tazapay as having more than $25 billion of annualized payment volume as of July 31, 2026, along with more than 60 banking and fintech partners and local payout rails covering more than 100 markets. Circle added that over 60% of Tazapay’s volume was running on stablecoins as of July 31, 2026, and said Tazapay has served as a design partner for Circle Payments Network since 2025.
