Aegon shareholders approve plan to redomicile to the United States
The EGM also approved an Omnibus Incentive Plan, and Aegon expects the redomiciliation to take effect on 15 October 2026.
Aegon Ltd. said its Extraordinary General Meeting of Shareholders approved the company’s redomiciliation to the United States, along with an Omnibus Incentive Plan proposal. Reinsurance News reports that the approval authorizes Aegon to proceed with its move of head office and legal seat to the US that it previously outlined at a December 2025 Capital Markets Day.
Aegon expects to proceed with the redomiciliation on 15 October 2026, including the repurchase of all outstanding Common Shares B held by Vereniging Aegon in exchange for common shares with equal voting rights on a 40-to-1 basis. The company said the interim bye-laws approved at the EGM will become effective upon completion.
As part of the transaction, Vereniging Aegon will be renamed Vereniging Aegon Americas from 15 October and will continue to hold a stake of approximately 18.4% in Aegon. Aegon also said charitable activities in the Netherlands will continue under a newly established Stichting Aegon Fonds Nederland.
Aegon further announced that its next Capital Markets Day will take place in New York City on 9 December 2027.
