Capital stress and AI uncertainty raise D&O risk for private firms

Munich Re Specialty North America pointed to an S&P 500 cyclically adjusted price-to-earnings ratio of about 41.1 in August 2026, the highest since 2000.

Volatile capital markets, unclear returns from A.I. initiatives, and unpredictable regulation are converging to increase management liability risk for private companies, according to a report from Munich Re Specialty North America.

The report cites a cyclically adjusted price-to-earnings ratio on the S&P 500 Index of about 41.1 in August 2026, described as the highest level since 2000 and far above a historic average of 16. It also notes that CAPE readings above 25 have historically preceded market downturns, including the 2000 dot-com collapse and the 2008 global recession.

Munich Re Specialty said private companies are also struggling to access capital on favorable terms amid ongoing stress in capital markets and persistent inflation, factors that can translate into higher management liability claims. The report links some of this pressure to the Federal Reserve’s decision to stop making additional support, though details were cut off in the available excerpt.
