CBIZ spins out insurance and benefits segment in Grant Thornton deal
The standalone unit is expected to launch in Q4 2026, after CBIZ shareholder and regulatory approvals, following a $5 billion all-cash acquisition by Grant Thornton Advisors.
CBIZ is carving out its Benefits and Insurance Services segment into a standalone insurance and employee benefits company, as part of a $5 billion all-cash deal that moves Grant Thornton Advisors into the accounting sector’s biggest consolidation in decades. Insurance Business reports the transaction was announced alongside CBIZ’s plan to separate its group health benefits consulting and brokerage, property and casualty insurance, retirement plan advisory, and payroll and human capital management operations.
The standalone company will be backed by New Mountain Capital after the deal closes, which is currently targeted for Q4 2026 subject to CBIZ shareholder approval and regulatory clearance. New Mountain, which led its May 2024 investment in Grant Thornton Advisors that helped trigger the firm’s acquisition spree, is also making an incremental equity investment to support the separation.
CBIZ Benefits and Insurance Services generated $401 million in revenue in full-year 2024, and posted Q2 2026 revenue of $101.9 million, flat year on year, according to CBIZ segment reporting and its Q2 2026 earnings release. The segment primarily serves small and medium-sized businesses across the US with coverage that includes group health benefits, property and casualty insurance, retirement plan advisory and investment services, and payroll and human capital management.
The spinout is designed to break an integrated client relationship with CBIZ’s broader professional services business, creating a unit that must retain clients without the accounting relationship as an anchor. Insurance Business adds that the structure reflects audit-independence rules that would create conflicts for operating an insurance brokerage within the same entity as Grant Thornton’s audit practice.
