Builders FirstSource to acquire Innovative Construction Group from PulteGroup

The deal adds off-site capacity in the Southeast for Builders FirstSource, while PulteGroup says it wants to avoid fixed factory costs and down-cycle risk.

Builders FirstSource said it will acquire Innovative Construction Group from PulteGroup, expanding its off-site building business with additional capacity in the Southeast. The acquisition is expected to bolster Builders FirstSource’s value-added manufacturing and installation scale, while PulteGroup will continue to use off-site methods without owning the factory operations.

PulteGroup intends to divest ICG because it views factory ownership as adding fixed costs and cyclical risks that can worsen during down cycles. ICG manufactures, sells, and installs off-site components including wall panels, and roof and floor trusses, with a 400,000-square-foot plant in Florida and a roughly 200,000-square-foot facility in South Carolina, according to HousingWire.

HousingWire also reported that PulteGroup, the third-largest homebuilder by sales volume in its rankings, plans to free up capital and focus on its core homebuilding competencies as margins remain tight. For Builders FirstSource, the transaction comes as the company has posted net losses in the last two quarters and is positioning the acquisition as a longer-term strategic investment.

The agreement follows PulteGroup’s plan to sell ICG first announced during its Q4 2025 earnings call in January, about six years after PulteGroup bought the business in 2020 in a deal originally valued at $104 million. HousingWire noted that the deal reflects growing consolidation in the building materials space, and that Builders FirstSource has completed more than 40 acquisitions since 2021.
