Bezos files to sell about $4.07 billion in Amazon shares
The Form 144 indicates the sale was set under a Rule 10b5-1 plan adopted on November 14, 2025, months before Amazon reached a $3 trillion market cap on August 3.
Amazon founder Jeff Bezos has filed a Form 144 to sell roughly 15 million shares worth about $4.07 billion, according to a filing with the Securities and Exchange Commission first reported by Yahoo Finance.
Bezos would execute the transaction through Morgan Stanley, using a broker relationship listed as Morgan Stanley Smith Barney. The filing is described as his first major sale since an earlier 25-million-share program generated nearly $5.7 billion from June 2025 through late July 2025, when that plan was completed.
The Form 144 follows Amazon becoming the fifth company to reach a $3 trillion market cap on August 3. Yahoo Finance reports that Amazon shares closed at a record $284.02 on the day the filing appeared, after the stock jumped 4.58% in response to strong second-quarter earnings.
Yahoo Finance also notes that the sale is tied to a pre-arranged trading plan adopted on November 14, 2025, under Rule 10b5-1, meaning the sales were scheduled before Amazon hit $3 trillion. The disclosure comes after the earlier sale activity, with Bezos dispositions since mid-2025 totaling about $9.7 billion, still below the $13.5 billion he sold across all of 2024.
