Aegon plans redomiciliation to Delaware and renames itself Transamerica

Aegon expects shareholders to vote on the plan on October 8, 2026, and if approved it targets completion around January 1, 2028, alongside a switch to US GAAP reporting beginning with 2027 results.

Aegon has filed SEC registration paperwork for a planned redomiciliation from Bermuda to the United States, along with a name change to Transamerica Inc., according to Insurance Business. The company also set up an Extraordinary General Meeting expected on October 8, 2026, where shareholders would vote on the jurisdiction and related proposals.

If the move is approved, Aegon would change its incorporation jurisdiction from Bermuda to Delaware and adopt the Transamerica name tied to its largest US life insurance and retirement subsidiary, which the company says accounts for roughly 70% of its total operations and is its biggest contributor to group profit and cash flow.

Insurance Business reports that Aegon is framing the change as a way to align its legal domicile, tax residency, accounting standards, and governance with where most of its business now sits. The company also plans to shift its reporting to US GAAP, with a first release of full-year results under the new standard expected for 2027.

Aegon said the redomiciliation is targeted to take effect around January 1, 2028, subject to receiving a certificate of discontinuance from Bermuda's Registrar of Companies and other regulatory conditions. The shareholder circular includes a Voting Undertaking Agreement with Vereniging Aegon, its largest shareholder, which holds about 18.4% of currently exercisable voting rights and has committed to vote in favor of the redomiciliation and a related Omnibus Incentive Plan proposal at the October meeting.
