TFP files for NYSE IPO after Fidelis risk split
TFP filed its Form F-1 with the SEC on September 25, 2026, but the filing did not disclose the number of shares or the IPO price yet.
Fidelis Partnership (TFP), a Bermuda-based risk allocator and independent managing general agent (MGA) platform, has filed a preliminary registration statement for an initial public offering of its ordinary shares, aiming for a New York Stock Exchange listing under the ticker symbol “TFP,” according to Reinsurance News.
TFP submitted its Form F-1 to the US Securities and Exchange Commission on September 25, 2026, and the filing does not yet specify the number of shares to be offered or the expected IPO price.
The company said existing shareholders will also sell additional shares in the IPO, while TFP itself will not receive any proceeds from those secondary sales.
Reinsurance News added that TFP specializes in originating, underwriting, and structuring global specialty, bespoke, and reinsurance risks, and was established in January 2023 after Fidelis Insurance was bifurcated into an underwriting and management arm (TFP) and a capital-holding balance-sheet entity that later rebranded as Pelagos.
