LPT Aperture files confidential S-1 for a potential IPO

The Lake Mary, Florida-based parent of LPT Realty and Aperture Global Real Estate filed a draft Form S-1 with the SEC, but the offering size and price range have not been set.

LPT Aperture Holdings, the parent company of LPT Realty and Aperture Global Real Estate, has submitted a confidential draft Form S-1 to begin the SEC review process for a potential IPO of its common stock, HousingWire reported.

The company did not disclose when the IPO might occur, and it has not provided any financial details. HousingWire said the offering size and price range are also undetermined and would depend on the outcome of the SEC review and market conditions.

LPT Aperture said the filing was made on Form S-1 and was issued under Rule 135 of the Securities Act of 1933, with no offer to sell or solicitation to buy. Any sale of securities would be made only through a prospectus that meets Securities Act requirements, according to the report.

HousingWire added that earlier this week the company announced it had acquired Speculo, an AI-powered database engagement and intent-detection platform built for real estate professionals. The S-1 language also noted that confidential submissions give companies flexibility to delay or withdraw an offering if market conditions change.
