Vista Gold agrees to be acquired by Artemis Gold in share deal
The all-stock agreement gives Vista Gold shareholders 0.0966 buyer shares per share, with the buyer canceling its 4.95% stake at completion.
Vista Gold Corp. agreed to be acquired by Artemis Gold Inc. in an all-stock deal announced September 21, under an agreement signed September 20.
Under the terms, Vista Gold shareholders will receive 0.0966 Artemis buyer common shares for each existing Vista Gold common share and will own about 5% of the combined company. The calculation excludes Artemis's current 4.95% stake in Vista Gold, which the buyer plans to cancel at completion.
The rationale centers on whether combining Vista Gold's Australia Mt Todd gold development with Artemis's operating experience and expected cash generation from its Blackwater mine can fund Mt Todd's path to production. Artemis operates the Blackwater mine in British Columbia, and its future cash generation is expected to support the Mt Todd project.
On the funding starting point, Vista Gold ended June 2026 with $49.5 million in cash and no debt, which management described as sufficient for interim development objectives. The acquisition requires no cash consideration or new acquisition debt, and Mt Todd construction spending is expected only after Blackwater's Phase 1A and EP2 expansions, with EP2 completion expected by mid-2028, a sequence that makes Mt Todd progress dependent on execution elsewhere.
